We have been exclusively retained to source an M&A and Licensing Legal Counsel to join a top tier pharmaceutical company distributing both OTC and prescription products, to source an M&A and Licensing Legal Counsel to join their headquarters.

Your key responsibilities will include:

Providing legal support for the company's worldwide acquisitions and other strategic transactions in all

- stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction
- documentation, and supporting closing transactions and post-closing integration.

Providing legal support for structuring, drafting and negotiation of complex pharma licensing and strategic

- transactions with partners and help develop and recommend innovative solutions to complex legal and
- business issues.

Drafting and assisting with the preparation of M&A and licensing related board and executive committee

- meeting materials.

Assisting with other special corporate projects.
Working closely together with our internal M&A team and with external advisors and experts.
Managing projects effectively with a teamoriented approach.
Manage all legal aspects and related documentation of relationships with partners.

Your profile:

You have obtained a master's degree in law.
You have at least 5 years of experience as an M&A and licensing lawyer within a reputable law firm and/or a

- legal department of a pharma company.

You have excellent negotiation and drafting skills
You can be the primary inhouse attorney on M&A, licensing and other corporate projects, including handling

- multiple simultaneous transactions or projects.

You are business oriented with a problem solving / pragmatic approach.
You work meticulously, have a handson mentality and your (verbal and written) communication is very
You are a selfstarter with team attitude.

The role is preferably based in Bologna.
