Now there is the unique opportunity to join our team as Legal Counsel in Milan.


Responsibilities:


In this role your responsibilities will be:

  • Preparation, drafting and negotiation of Share Purchase Agreements and Development Services Agreements, as well as any ancillary and customary document (for these type of transactions) related to them;
  • Due diligence: study, research, analyze and review laws and opinions to conduct an internal due diligence in relation to real estate and administrative matters, as well as analyzing external legal and technical due diligence and/or notarial reports in relation to a relevant transaction;
  • Corporate: when requested for M&A transactions, prepare all the necessary corporate documents including, without limitations, resolutions of the directors, POAs, resignation letters and bylaws;
  • Drafting, negotiation and execution of preliminary or definitive land purchase agreements, surface agreements, memorandum of understanding, binding and nonbinding offers, escrow agreements, loan agreements and service agreements;
  • Liaising with external parties including landlords, suppliers, municipalities or other public bodies, notaries, law firms and consultants for the purposes of enhancing the company's business.
  • Legal guidance: provide legal advice on best practices for compliance, input on business decisions and contract negotiations, administrative dealings and transactions structure.

Requirements:


Ideally you will have:

- at least 3-4 years of experience in the renewable energy market (reference is made to PV and BESS project development/permitting/project financing/construction) either in the Italian market or abroad;
- dealt with M&A transactions and you are capable of assisting and leading such transactions independently;
- advanced knowledge of administrative procedure (Italian law 241/1990), as well as an advanced knowledge of the authorization procedures in Italy and their applicability to PV and BESS projects;
- advanced knowledge of the laws related to civil procedure and private law (i.e. property, real estate, rights in rem, guarantees, family laws.)
- capability of working alone and problem solving & creativity skills;
- fluency in English both speaking and writing.
