We are looking for a
Legal Counsel, reporting to the
Head of Corporate Affairs & Governance.

Your responsibilities will include:

- supporting ordinary and extra-ordinary corporate activities (including M&A transactions);
- dealing with the adaption of Italgas S.p.

A.'s corporate governance system to the recommendations of the new code developed by the Corporate Governance Committee of Borsa italiana S.p.

A.;
- drafting corporate documents, e

g:
shareholders' agreements, termsheets, by-laws, projects of merger and demerger;
- dealing with supervisory authorities, i

e:
Consob and Borsa Italiana;
- handling with the company secretariat of the listed company, several subsidiaries and internal committees of the parent company's board (organizational activities, relations with top management, minutes, execution of the related tasks with Consob, Camera di Commercio and Borsa Italiana);
- organizing the shareholders' meeting of the listed Company;
- keeping the "Registro Insider" and dealing with the internal dealing communications pursuant to the Market Abuse Regulation;
- drafting of the Corporate Governance Report;
- managing external consultants, e.g. lawyers, notaries, interpreters etc.

Competenze Tecniche:

Requirements:

Law Degree;
Lawyer (plus);
At least 5 years of experience gained in a Listed Company or in a Primary Law Firm, dealing with Corporate Affairs & Governance;
Proficiency in MS Office including Word, Excel, and PowerPoint;
Fluency in English;
Ability to communicate assertively with internal stakeholders in writing and in person and a range of external contacts;
A team player, who can work in collaboration and is enthusiastic and supportive.
