You will be part of an innovative renewable energy company and you will contribute to achieve a de-carbonized future.
This Legal Counsel position can be located either in Paris-La Défense (FR), Rome or Taranto (IT) and will focus on wind projects mainly in France, Italy and Turkey but also in the rest of Vestas Mediterranean region, a Sales Business Unit (SBU) within Vestas Wind Systems, that covers wind markets for South Europe, Africa and Middle East

Legal Department provides legal advice in relation to sales and service sales transactions.

This includes preparation, negotiating and drafting the transactions documents as well as agreements with the different stakeholders to reach those established business goals.

Other issues related to corporate entities are also taken care of by Legal Department, including corporate, procurement, contract management and litigation matters.


Responsibilities
Reporting to the Director of Legal for France, Italy and Turkey, the key tasks are the following:

  • Participate to the preparation, negotiation, drafting and finalization of complex transactional documents that accurately reflect the commercial and legal decisions and comply with company guidelines and preferences in relation to EPCs, BoP, Turbine Sales Agreements, Service Agreements, invitation to tenders as well as other contractual deliverables under such projects, i.e. parent documentations, lenders' direct agreements, escrow agreements, NDAs, etc
  • Provide continuous legal advice for issues arising after during execution phase, including to contract managers and liaise with external lawyers in case of litigation and counselling to management with respect to current and future wind sector law & regulations impacts
  • Ensure contractual positions are consistent with internal governance, foster compliance with applicable legislations, internal rules and group guidelines and facilitate approval of transactions though the Contract Review Process, by making sure, in coordination with the team, that the review process and management of commercial opportunities is applied in adequation with the internal mandates obtained by the relevant functions and ensure that the relevant corporate governance is timely and properly applied along the closing of each transaction and develop and implement good contracting practices, including, providing legal awareness training and creating templates and contract policies

Qualifications

  • Master's Degree in Business Law, from a French or Italian Law school, with solid legal educational background handling/analyzing complex transactions especially relating to construction industry or huge scale projects,
  • Computer literate (MS Office) and commercial mindset and are interested in learning further about commercial and technical issues, innovative and independent, but holds demonstrated stakeholder management skills and experience working in a multinational, matrixed organization,
  • At least one experience in an energy industry (or other significant experience with handling large scale international construction, industrial equipment tools, automotive, aeronautical or railway transactions) is a significant plus

Competences

  • Languages: French, Italian and English, including legal and business terminology and flexibility to travel (10 to 20%), based on company needs and goals.
  • Negotiation skills and capability to deal with intensive negotiation sessions, ability to effectively influence and communicate within all levels of a global organization, as well as third parties,
  • Appetite/strong interest for business related matters and ability to connect the legal dimension with value creation impact and general curiosity for renewables, environment, sustainable solutions and their associated products, high organizational skills, and ability to work under time sensitive environments, proven commitment to continuous improvement,
