Position:


The In-House Counsel, reporting to the General Counsel, is involved in legal matters connected to the Business activities and initiatives of Loro Piana worldwide, with special focus on commercial operations/development, marketing/communication and procurement/supply chain.

The activity ranges from contract management to litigation and small/middle sized M&As. An important task will be working with the General Counsel on the contract management process enhancement.

**Operations

  • Contracts** definition of contractual needs with the relevant functions' briefing (business or staff);
- reception and verification of the contracts proposed by the counterparties (e.g. real estate contracts for new shops opening);
- drafting of standard contracts and related clauses to be proposed to counterparties;
- study and elaboration of the clauses or reviewing/sharing the draft contract or the reviews with the stakeholders/any fine tuning/negotiation
- enhancing - also through adequate digitalization tools - the contract management process to improve the response timing and make it fit for the ever-increasing Business needs but always safeguarding professional accuracy;

**Operations

  • M&A*
  • Preparing, conducting and coordinating Due Diligence;
  • Designing the transaction structure;
  • Drafting and negotiating transaction documents, monitoring formalities and managing postacquisition matters and formalities

Litigation

  • Managing precontentious and contentious phases;

Others

  • Specific projects/activities as directed by the General Counsel, even outside the Business Support scope;

Profile:


  • University degree in Law; Postgraduate degree in International Business Contracts or Fashion Law is a plus;
  • About 57 years of work experience in multinational companies or as a Lawyer in a firstrate business law firm;
  • Robust knowledge and experience in contract drafting, reviewing, negotiation and management in the EU, the USA, Greater China and South Asia;
  • Knowledge of business and accounting practice of the sector;
  • Mastering the Compliance (in the broadest sense) and IP implications connected to the Business activities and initiatives of the sector;
  • Analytical and problemsolving skills, flexibility, able to deal with ambiguity;
  • Project management skills;
  • Team management skills, able to actively listen and to provide clear explanations/clarifications;
  • Ability to work in an international environment;
  • Proficient with MS Office suite; knowledge of digital tools and AI applied to legal services is a plus;
  • Fluent English, both spoken and written; additional fluency in a second/third language (preferably French or Chinese) is a plus.
